CLIENT SERVICES AGREEMENT

Horizon Acquisition Group LLC

Version 1.3 — 5 October 2026

This agreement is between Horizon Acquisition Group LLC and the client named in clause 1. It is written in plain language on purpose. Please read it before signing, and ask us about anything that is not clear — we would rather explain a clause now than argue about it later.

Schedule A — the commercial terms

Schedule A is completed and signed with each client’s own copy of this Agreement. It sets out the package chosen, Horizon’s monthly fee, the advertising budget the client funds on its own advertising account, whether the Email Outreach Program is included, how many new ad concepts and ads are produced each month, how often tired ads are replaced, whether appointments are booked into the client’s calendar, the price of a further revision round, the three-month initial period, and whether the client pays monthly or three months up front at 10% off Horizon’s fee.

Horizon’s fee is invoiced monthly in advance (clause 4). The advertising budget is not paid to Horizon — the client pays the platform directly from its own advertising account (clause 11).

Where Schedule A and anything else disagree about price, volume or term, Schedule A governs.

1. The parties and what this covers

This Agreement is made between Horizon Acquisition Group LLC, a Wyoming limited liability company with its address at 75 E 3rd Street, Sheridan, Wyoming (“Horizon”), and [CLIENT LEGAL NAME] of [ADDRESS] (“the Client”).

It covers the lead-generation and advertising services set out in Schedule A, which is completed and signed with this Agreement and forms part of it. Where Schedule A and this Agreement disagree, this Agreement governs except on price, volume and term, where Schedule A governs.

2. What Horizon does

Horizon provides some or all of the following, as stated in Schedule A: prospect research and lead lists · outreach copy and campaigns · advertising creative, including still images, slideshows and video · landing pages · booking appointments into the Client’s calendar · campaign management and reporting.

Horizon is an independent contractor, not the Client’s employee, agent or partner, and neither party may bind the other.

Horizon does not guarantee results. No representation is made about the number of leads, their quality, conversion, or any revenue outcome.

3. Term and termination

Term. This Agreement begins on the date the Client signs and runs for the initial period stated in Schedule A, then continues month to month until it is ended.

Either party may end this Agreement at any time on thirty days’ written notice, including during the initial period. The fee for the notice period remains payable, work already commissioned is completed and invoiced, and money already paid for a month that has begun is not returned. There is no cancellation fee and no penalty.

What the Client owes on leaving depends on how the Client chose to pay, and the difference is the discount.

Paying monthly. Thirty days’ written notice, at any time, and the fee for that notice period. Nothing further is owed and nothing is accelerated — the initial period does not create a debt.

Paying three months up front at 10% off Horizon’s fee. Those three months are committed. The discount is what the Client bought with that commitment, so if the Client ends this Agreement early for its own reasons, the unused months are not refunded. The same applies to any later quarterly prepayment taken at the same discount.

That forfeit never applies where the reason is Horizon’s. Where this Agreement ends for a reason set out in Horizon’s refund policy — Horizon cannot lawfully or practically serve the Client, Horizon materially fails to deliver what Schedule A states and does not put it right within fourteen days of written notice, or Horizon ends this Agreement for a reason that is not the Client’s fault — a prepaying Client is refunded the whole months it has not received, calculated at the discounted rate it actually paid.

30-day money-back guarantee. If the Client is not satisfied, it may end this Agreement by written notice within thirty days of its first payment. Horizon then refunds every fee the Client has paid it, in full, including a three-month prepayment, and no notice-period fee is owed. Advertising spend is paid to the platform and is never refunded (clause 11). On a guarantee refund, the Client's licence to use the creative and landing page (clause 7) ends. The guarantee applies once per business, to its first purchase only.

Horizon may suspend or end this Agreement immediately where continuing would require Horizon to breach a law, a regulator’s rules, or an advertising platform’s policies, or where the Client has supplied information Horizon has reason to believe is false. Horizon will say which, in writing.

What survives the ending: Horizon’s ownership and the Client’s licence (clause 7), the portfolio permission (clause 8) unless withdrawn under that clause, confidentiality (clause 13), retention (clause 14), liability (clause 15) and governing law (clause 16).

4. Fees and payment

Fees are as stated in Schedule A. Every amount in this Agreement and in Schedule A is in United States dollars (USD). Monthly fees are invoiced in advance and are due on receipt unless Schedule A says otherwise.

There are two ways to pay the first three months, and the Client chooses in Schedule A. Either monthly — three monthly payments, carrying no commitment beyond thirty days’ written notice — or all three months up front, at a 10% discount on Horizon’s fee, where those three months are committed and clause 3 governs what happens if the Client leaves early. The discount applies to Horizon’s fee only. There is no discount on advertising spend, in any circumstances. Horizon does not hold, fund or resell advertising spend (clause 11), so there is nothing there for Horizon to discount. Paying further ahead buys a lower fee — never cheaper advertising.

Advertising spend is separate from Horizon’s fees and is paid by the Client directly to the platform from the Client’s own advertising account (clause 11).

Late payment. Horizon may pause work on an account more than fifteen days overdue, after written notice.

Refunds. Horizon refunds a client it cannot serve — where Horizon cannot lawfully or practically deliver the service, it says so and returns the money. No refund is made until the original payment has cleared, because Horizon cannot return money it has not received. What is and is not refundable once work has started is set out in Horizon’s refund policy, which forms part of this Agreement. Where this Agreement and that policy disagree about refunds, the refund policy governs.

5. Revisions

Each piece of advertising material includes one round of revisions at no additional charge. One ad counts as one piece, including every shape and size of that ad made for feeds, stories, reels and landscape placements. A round means all of the Client’s changes to that piece, given together at one time.

Each further round on the same piece is charged at USD $150.

Horizon will tell the Client the cost before starting a chargeable revision and will not begin one without the Client’s written consent.

What is NOT a chargeable revision, in any circumstances:

6. Approval

Nothing is published without approval, and approval is a written record rather than a memory.

The sequence. Horizon reviews the material internally first. Horizon then places it in the Client’s own “For Review” folder in the shared drive and notifies the Client by email. The Client approves by replying in writing.

Approval is never assumed from silence, from the passage of time, or from an ambiguous reply.

Publication. Once approved, Horizon publishes or schedules the material. The Client may withdraw approval for future placements at any time; Horizon cannot recall material already delivered to an audience.

What each party is responsible for. The Client is responsible for the accuracy of the facts, figures, credentials, licence numbers and offers it supplies (clause 10). Horizon is responsible for the material complying with the advertising rules applicable to the Client’s industry and jurisdiction — subject to clause 10, because Horizon can only apply those rules to information the Client has actually given it.

7. Ownership of the advertising

Horizon owns the advertising material it creates. All copyright and other intellectual-property rights in the advertising material Horizon produces under this Agreement — concepts, copy, images, video, slideshows and landing-page designs — belong to Horizon and remain Horizon’s.

The Client’s licence — what the Client may do with it. Horizon grants the Client a perpetual, worldwide, non-exclusive, royalty-free licence to use, reproduce, display, publish and run that advertising material to advertise the Client’s own business, on any platform and in any medium. This licence survives the ending of this Agreement and does not expire — advertising the Client paid for is advertising the Client may keep running. It takes effect on payment in full for the month in which the material was delivered, and requires no further document.

What the licence does not allow. The Client may not sell the material, license it to anyone else, or supply it to advertise a different business, and may not represent that it created the material. The licence passes with the Client’s business if that business is sold, and not otherwise.

Moral rights. To the extent permitted by law, Horizon and its personnel waive their moral rights in the material, so the Client may run and adapt it without attributing Horizon.

What the Client already owned stays the Client’s. Photographs, video, logos, branding, testimonials and any other material the Client supplies remain the Client’s. The Client grants Horizon a licence to use, edit, adapt and incorporate that material for the purpose of producing advertising for the Client, including as source material for artificial-intelligence generation as described in clause 9.

What else Horizon keeps. Its templates, prompts, workflows, processes, tooling, and the performance data described in clause 14.

Third-party material inside the advertising — music, stock imagery, fonts and voices. Advertising Horizon produces may contain material licensed from third parties through Horizon’s own subscriptions. The licence granted above gives the Client what Horizon itself owns. Third-party material carries that third party’s own terms, and Horizon cannot grant more than it holds.

After this Agreement ends, Horizon does not maintain, renew, monitor or re-clear any third-party licence in material it has delivered, and is not responsible for anything that follows from such a licence lapsing, changing, being withdrawn, or being disputed — including a platform claim, a takedown, a demonetisation, a loss of monetisation, or a demand from a rights holder. Continuing to run the advertising after this Agreement ends is the Client’s decision and the Client’s risk.

What the Client can do about it, and when. On written request at any time, Horizon will tell the Client what third-party material a delivered piece of advertising contains — the music track and its source, and any stock imagery or licensed font. A Client that intends to keep running a piece of advertising after the engagement ends should ask for that list before it ends, so it can decide what to keep running, what to replace, and what to license again in its own name.

8. Use of the work in Horizon’s portfolio

Horizon owns the advertising material (clause 7) and may show it as an example of its own work. What the Client controls is whether Horizon may identify the Client while doing so, and the Client chooses in the signed copy:

If no box is ticked, (c) applies.

Results and numbers may be described only in a form that does not identify the Client, unless (a) is selected.

Withdrawal. The Client may withdraw this permission at any time by written notice. Horizon will stop using the material within thirty days and is not required to recall material already printed or distributed. Withdrawing it does not affect Horizon’s ownership, or the Client’s licence, under clause 7.

9. Artificial intelligence in the advertising

The Client acknowledges that Horizon produces advertising material using artificial-intelligence generation tools, that the Client’s own photographs and video may be supplied to those tools as source material, and that those tools and the model providers behind them operate outside Canada.

What Horizon will not do. Horizon will not generate imagery depicting work the Client has not performed, results the Client has not achieved, or people who do not exist presented as the Client’s staff or customers. An advertisement that is photorealistic and AI-generated or AI-edited will carry a disclosure.

Platform labelling. The Client acknowledges that advertising platforms may independently detect and label material as AI-generated, and that Horizon does not control whether they do.

10. What the Client supplies, and warrants is true

The Client will supply, promptly and accurately: its registered legal name and address · its licence, registration or certification numbers and their current status · the professional body or bodies that regulate it · the products, services and offers to be advertised · any performance, savings, response-time or comparative claim it wants used, together with the evidence supporting it · any testimonial it wants used, together with written permission from the person who gave it · and its do-not-contact list.

The Client warrants that all of it is true, current and complete, that the Client holds every licence and registration the advertised work requires, and that the Client has the right to supply every photograph, video, logo and testimonial it gives Horizon — including the consent of any identifiable individual appearing in them.

Horizon will not publish a claim for which the Client has not supplied evidence, and will not advertise a scope of work the Client is not licensed to perform. The Client acknowledges this may mean copy is narrower than the Client would prefer.

If any of it changes — a licence lapses, an offer ends, a claim stops being true — the Client will tell Horizon immediately. Horizon will pause or amend affected material on becoming aware.

11. Advertising accounts and advertising spend

Paid advertising runs in the Client’s own advertising account on each platform. The Client will grant Horizon partner or agency access to that account, and will keep that access current for the term.

The Client owns the account, the spend and the data in it, including audience and conversion history, and keeps all of it when this Agreement ends.

The Client pays the platform directly. Horizon does not fund, front or resell advertising spend, and does not mark it up.

Horizon will not change budgets, targeting or campaign settings outside what Schedule A authorises, without the Client’s agreement.

Platform rules apply on top of this Agreement. Where a platform refuses, restricts or removes material, or requires verification the Client has not completed, Horizon will say so — it is not a failure of Horizon’s service and does not entitle the Client to a refund of fees already earned.

11A. Calendar access — only where Schedule A says “Yes”

The Client will connect one calendar of its choosing (Google or Microsoft) so Horizon can book appointments into it.

Horizon may see only when the Client is free or busy — never what an entry says. Horizon may create, move and cancel only the appointments Horizon itself booked, and will never read, change or delete the Client’s own entries.

Appointments are booked in the Client’s time zone, and the person booking sees their own. The Client keeps its calendar up to date. An appointment the Client misses, or a booked person who does not attend, is not a failure of Horizon’s service.

If the Client’s calendar cannot be connected, Horizon will send each lead with the Client’s own booking link instead.

Access ends when the Client removes it, or when this Agreement ends. Horizon will disconnect within five business days of the end, and appointments already booked stay in the Client’s calendar.

12. Personal information

Each party is separately responsible for the personal information in its own hands. Horizon is accountable for the copy it holds; the Client, having received leads for its own purposes, is accountable for its copy under its own privacy obligations.

Landing pages. Where Horizon builds a landing page, Horizon is the organisation collecting the information on that page and says so on the page. The page names the Client as the business the enquiry will be passed to, states that the Client will contact the person, states that information may be stored and processed outside Canada, names a contact for questions, links to Horizon’s privacy policy, and carries an un-ticked, unbundled consent checkbox.

Forwarded withdrawals. A person who tells Horizon to stop contacting them stops Horizon, but does not thereby stop the Client, because the Client holds its own copy. Horizon will forward any such request to the Client the same day, and the Client will honour it and stop contacting that person.

Do-not-contact. The Client will not contact anyone Horizon has identified as having opted out, and will give Horizon its own do-not-contact list at the start so the two can be merged.

Breach. Each party will notify the other without delay on becoming aware of any unauthorised access to or disclosure of personal information arising from this Agreement, and will co-operate in assessing and reporting it.

13. Confidentiality

Neither party will disclose the other’s confidential information — pricing, strategy, customer and prospect lists, campaign data and results, and anything else marked or reasonably understood to be confidential — to anyone outside its own organisation, except to people who need it to perform this Agreement and are bound to keep it confidential.

This does not cover information that is public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law — and where disclosure is required by law, the party will tell the other first where it is lawfully able to.

Horizon’s obligation is not softened by clause 7 or clause 8. Owning the advertising material does not entitle Horizon to disclose the Client’s confidential information, and clause 8 is the only route by which Horizon may show material identifying the Client to anyone else, limited to what the Client has ticked.

This clause survives for three years after this Agreement ends, and indefinitely for anything that is a trade secret or personal information.

14. Retention

Horizon retains a copy of the advertising material it produced for the Client, together with the associated performance data, for seven years from the end of the engagement, for Horizon’s own quality improvement, dispute resolution and record-keeping.

People appearing in the material. The Client confirms it has the consent of any identifiable individual appearing in photographs or video it supplies, for that material to be used in advertising and retained as described. Horizon will delete material featuring an identified individual on written request from the Client, except where Horizon must retain it.

Deletion on request. On written request after the engagement ends, Horizon will delete the Client’s supplied source material, retaining only what clause 8 permits it to show and what it must keep for legal or accounting purposes.

Suppression records are retained permanently and are not deleted on request. These are the records of people who asked not to be contacted. Deleting them would re-enable contact with exactly the people who asked for it to stop, and Canadian and US rules both require such records to be kept — CASL consent and suppression records for at least three years, and internal do-not-call records for three years in Canada.

15. Liability

Neither party is liable to the other for indirect, incidental or consequential loss, or for lost profits, lost revenue or lost business opportunity, however caused.

Horizon’s total liability under this Agreement is limited to the fees the Client paid Horizon in the three months before the event giving rise to the claim.

The Client indemnifies Horizon against any claim, penalty or loss arising from information the Client supplied that was false, out of date or incomplete, from a claim the Client asked to be advertised without supplying evidence, from material the Client approved, or from the Client’s own use of leads Horizon delivered.

Third-party licences in delivered advertising are dealt with in clause 7, and Horizon’s responsibility for them ends when this Agreement ends.

Nothing in this clause limits either party’s liability for fraud, for wilful misconduct, for death or personal injury caused by negligence, or for anything else that cannot be limited by law.

16. Governing law and disputes

This Agreement is governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Wyoming.

Before starting proceedings, the parties will attempt in good faith to resolve the dispute by discussion between principals, within thirty days of one party giving the other written notice of it. If that does not resolve it, the parties will then attempt good-faith mediation, conducted by video conference. If mediation has not resolved the dispute within thirty days of beginning, either party may pursue other available remedies.

Class-action waiver. Any dispute between the parties will be conducted only on an individual basis, and not as part of a class, consolidated or representative action.

17. The whole agreement

This Agreement, together with Schedule A and Horizon’s Refund Policy as published at the date of signature, is the entire agreement between the parties about the services. It replaces everything said or written before it — proposals, quotes, emails, calls, and any earlier agreement covering the same work. Neither party is relying on anything that is not written in it.

Horizon also publishes Website Terms of Service at horizonacquisitiongroup.com/terms and the Refund Policy at horizonacquisitiongroup.com/refund-policy. The Website Terms govern use of Horizon’s website by anyone who visits it. They are not a separate services contract, and they do not change what Horizon owes the Client under this Agreement.

A change to this Agreement is only effective if it is in writing and signed by both parties. An email, a phone call, or the way the parties have done things in the past does not change it.

If any part of this Agreement is found to be unenforceable, the rest of it continues to apply.

Where two of these documents disagree, this is the order that applies:
